Subject: Consideration of Creating the Office of Accountant, Defining the
Duties of the Office and the Appointing an Individual to the Office
1. WHY THIS MATTER IS BEFORE THE BOARD
Only the Board can create the office of the Accountant and appoint an individual to perform the
duties of the office.
2. HISTORY
The California Public Utilities Act states that one of the officers of the District, other than the
Board of Directors, is the Accountant. The Board of Directors has created the office of the
Treasurer and appointed an individual to the position, but has never created nor appointed
anyone to the office of the Accountant.
3. NEW INFORMATION
During the General Manager's discussion with Director Sutton regarding changes to the District
ant and appoint an
Code, it was recommended that the a District thatflthe office ofce of tthe Accountant be
individual to the office. It was also
recommended
appointed by name and not by position title.
Robert Mescher is employed by the District as the Finance and Accounting Manager and has a
degree in accounting. It is my recommendation that he be appointed to fill the office of the
Accountant.
Attached are copies of draft resolutions creating the office of the Accountant, defining the
duties of the Accountant and appointing an individual to the office.
4. FISCAL IMPACT
There is no fiscal impact associated with this item.
5. RECOMMENDATION
Adopt the attached resolutions:

CREATING THE OFFICE OF ACCOUNTANT AND DEFINING
THE DUTIES OF THE OFFICE
WHEREAS, pursuant to Section 16112 of the California Public Utility District Act, the Board of
Directors is authorized to appoint the Accountant of the District, who shall hold office at the
pleasure of the Board; and

and at all times shows the financial condition of the District.
WHEREAS, under the direction of the Treasurer, the Accountant shall draw all warrants to pay
demands made against the District in a manner consistent with Board policy as defined in Title
3 Finance and Accounting of the District Code; and
WHEREAS, the Accountant will perform assigned duties according to District policies and
procedures approved by the Board of Directors; and
WHEREAS, the Accountant shall perform such further duties as the Board may, from time to
time, impose.
NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Truckee Donner
Public Utility District as follows:
1) The Board of Directors hereby reaffirms creation of the office of Accountant who shall
hold office at the pleasure of the Board; and further
2) The Accountant shall perform the duties specified above and such further duties as the
Board of Directors may, from time to time, impose.
PASSED AND ADOPTED by the Board of Directors of the Truckee Donner Public Utility
District in a meeting duly called and held within said District on the day of , 2008 by

APPOINTING AN INDIVIDUAL TO THE OFFICE OF
ACCOUNTANT
WHEREAS, the Board of Directors has created the office of Accountant which
serves at the pleasure of the Board, and
WHEREAS, the Board wishes to appoint an individual to the office of the
Accountant; and
WHEREAS, Robert Mescher is an employee of the District who serves in the
position of Finance and Accounting Manager;
NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Truckee
Donner Public Utility District as follows:
