SUBJECT: Consideration to Execute a Professional Services Contract for
Electric Engineering Support

RECOMMENDATION:
Authorize the General Manager to execute a Professional Services contract for Electric
Engineering Support with Qualus Services, LLC.
BACKGROUND:
On December 7, 2022, the Board approved the District's routine annual procurements
for FY23. Included was the procurement for Professional Services from Tri Sage
Consulting (Tri Sage) for Electric Engineering Support for a not to exceed authorization
amount of $300,000 for FY23.
On December 28, 2022, the District was notified (Attachment 1) that Tri Sage would be
merging with and formally adopting the name of Qualus Services, LLC (Qualus). The
District has long utilized engineering support services from Tri Sage for various tasks,
including design work for the most recent rebuild and rehabilitation work at Truckee
Substation. Over the past year, staff has also been working with Tri Sage to develop
and define the scope for the District's next substation rebuild project. The design work
is ready to begin for this project at Martis Valley Substation.
The merger of Tri Sage and Qualus resulted in an expanded pool of engineering
resources that Tri Sage did not previously have access to. In addition, Qualus was
successful in retaining the Tri Sage staff that have historically worked directly with
District staff on various projects over the years, including the most recent substation
rebuild scoping work.
ANALYSIS AND BODY:
The District is unable to enter into a contract with Qualus for engineering support
services because the Board authorization applied to Tri Sage for FY23. The
authorization is under the Board approved FY23 annual procurements and requires
Board authorization to execute a contract with Qualus.

Due to the historical relationship and work in progress with Qualus (formerly Tri Sage),
Staff recommends that the Board authorize the General Manger to execute a
Professional Services contract with Qualus for the FY23 annual authorization of
$300,000 for Electric Engineering Support.

I am excited to share with you that as of November 22, Tri Sage has merged with Qualus. Both of our
firms provide deep experience, knowledge and resources in the power systems and renewable
development industry. Please accept this letter as our formal notification of a change in ownership to
Qualus, LLC.
Since our inception, our core focus has been providing quality services to our clients through a culture
of understanding and caring about their projects. We believe our partnership with Qualus will further
enable us to continue delivering on that commitment. The Qualus team brings not only a robust power
engineering staff, but experienced and talented relay field technicians that will be able to support our
clients with substation construction and operations.
We are confident our new partnership will enable significant benefits to our employees, our vendors,
and our client. The Tri Sage team has worked hard to establish our clientele's and subconsultant's trust
and respect for the past 20 years. To ensure this will continue with Qualus, our leadership and
operational teams will remain the same as those you work with today. Our staff enjoy working for you
and that won't change. Furthermore, the transaction itself will not cause any change in terms of the
current contractual relationship with you.
