Holley Date: August 04, 2010 Subject: Consideration of the Cancellation of the Board Meeting on August 18, 2010 1. WHY THIS MATTER IS BEFORE THE BOARD State of California and District Code require that three members of the Board shall constitute a quorum. No business shall regularly be entered upon until a quorum is present, nor shall business regularly be proceeded with when the members are reduced below a quorum. 2. HISTORY District Code also states that the District Manager shall be entitled to cancel any regular or special meeting if he determines that a quorum of the Board of Directors will not be present. 3. NEW INFORMATION Two Directors will be attending the Utah Associated Municipal Power Systems (UAMPS) 2010 Member Conference from August 15th to the 18th in Susanville, California. It is possible that a quorum will not be available to hold the regularly scheduled Board meeting on August 18, 2010. There is nothing of a pressing nature. 4. FISCAL IMPACT There is no fiscal impact with this matter. 5. RECOMMENDATION Cancel the regular meeting scheduled for August 18, 2010. P-7 - . Michael D. Holley General Manager
