1. WHY THIS MATTER IS BEFORE THE BOARD
Board approval is required to enter into a contract or a pooling appendix agreement.
A) This item involves the purchase of Renewable Energy Credits (REC's) from Utah
Associated Municipal Power Systems ("UAMPS") for 2010 and 2011.
B) This item involves a Pooling Appendix with UAMPS that transfers the City of
Fallon's Stampede Generation to Truckee Donner PUD in exchange for energy from
Truckee Donner PUD through UAMPS Power Exchange ("PX").
2. HISTORY
The District has a Renewable Portfolio Standard ("RPS") goal of 21% by 2010. This
standard is met, in part, by purchases of renewable energy credits (REC's).
Transferring more of the Stampede generation from the City of Fallon to Truckee
Donner PUD will help the District continue to meet its 21% RPS goal by 2010.
Currently the Stampede generation is shared with the City of Fallon. Every other
month, the generation is scheduled to either the City of Fallon or Truckee Donner
PUD therefore sharing the resource throughout the year.
3. NEW INFORMATION
A.) 2010 & 2011 REC Purchase from UAMPS (Attachment 1):
UAMPS has REC's for sale to its members from the Pleasant Valley Wind project
located in Uinta County Wyoming. REC's arising from the wind power generation for
delivery to the grid are measured by the amount of one REC for each megawatt hour
(MWh) generated.
The District is interested in 2,000 MWh per month for 2010 and 2011 or 24,000 MWhs
for each calendar year 2010 and 2011 from UAMPS at forecast market prices. The
REC's are priced for the first half and second half of the year. The UAMPS Project
Management Committee ("PMC") has approved the sale of the Pleasant Valley's
REC's to Truckee Donner PUD.
The price for the REC's range from $2.00/MWh to $3.50/MWh over the time period of
2010 through 2011. This purchase of REC's is a good value to the District and will
help the District continue to meet its RPS goal of 21%.
B.) Stampede Generation, UAMPS Pooling Appendix (Attachment 2):
Staff has negotiated with the City of Fallon an exchange of energy from the Stampede
generation to Truckee Donner PUD for energy to the City of Fallon from Truckee
Donner PUD's other generation at UAMPS. The basic agreement of the Pooling
Appendix is as follows:
• Assign all months of generation from Stampede to Truckee Donner PUD.
• In exchange, Truckee will sell the City of Fallon 500 kW per hour of its UAMPS
resource mix at a rate of$37/MWh minus the REC valuation.
• The REC valuation is calculated as the average of the WECC Green-E Wind
(non-wregis) Bid and Offer prices as listed in the bi-annual table.
• Once a year (during January) a true up of MWh's and dollars will be evaluated
and agreed upon by Truckee Donner PUD and the City of Fallon.
• The term of this Appendix begins February 1, 2010 through December 31,
2013 unless terminated by a Party providing 60 day written notice to the other
Parties.
• Any termination prior to December 31, 2013, will require an agreement of
Truckee Donner on an energy delivery methodology beginning the first day of
the month following the termination date.
4. FISCAL IMPACT
The funding source for the REC purchase and the Pooling Appendix will be the
purchase power budget if executed.
The price of the REC is listed in the agreement for each six month increment. The
price varies from $2.00 to $3.50 per megawatt hour.
The net cost to Truckee Donner PUD of the Stampede Generation, pooling agreement
is the difference between the existing Stampede Generation and cost of Truckee
Donner PUD's other resources at UAMPS. These costs currently range between $20
and $40 per MWh and do not include any REC's.
5. RECOMMENDATION
A) Approve the UAMPS Renewable Energy Credit Sales Agreement for the purchase
of 24,000 REC's in 2010 and 24,000 REC's in 2011 in the amount of:
January 2010 - June 2010: $4,000 per month
July 2010 - December 2010: $5,000 per month
January 2011 - June 2011: $6,000 per month
July 2011 - December 2011: $7,000 per month
B) Approve the UAMPS Pooling Appendix concerning the transfer of energy from the
Stampede generation from the City of Fallon to Truckee Donner PUD.

UAMPS RENEWABLE ENERGY CREDIT
SALES AGREEMENT
This Renewable Energy Credit Sales Agreement made effective as of January 1,2010 between Utah
Associated Municipal Power Systems("UAMPS'')and Truckee-Donner Public Utility District(Truckee
Donner").
UAMPS receives Renewable Energy Credits("RECs")arising from the wind power generation for
delivery to the grid of the energy by the Facility described below:
Facility name and location: Pleasant Valley(Uinta County, WY)
Fuel Type: Wind
Capacity(MW): 144
Operational Date: December 15, 2003
in the amount of one REC for each megawatt hour generated; and Truckee Donner desires to purchase
RECs in the amount of 24,000 per year for the calendar years 2010 and 2011 from UAMPS at forecast
market price. The Purchase Price will be included on Truckee Donner's Power Bill from January 2010
until December 2011 according to the following schedule:
January 2010—June 2010: $4,000.00 per month
July 2010—December 2010: $5,000.00 per month
January 2011 —June 2011: $6,000.00 per month
July 2011 —December 2011: $7,000.00 per month
Purchase and Sale of Environmental Attributes. UAMPS shall sell to Truckee Donner, and Truckee
Donner shall purchase from UAMPS, all right, title, and interest in and to all Environmental Attributes
with respect to the purchased RECs. UAMPS shall make the Environmental Attributes available to
Truckee Donner to the fullest extent allowed by Applicable Law immediately upon UAMPS' obtaining
the Environmental Attributes. UAMPS shall not assign, transfer, convey, encumber, sell or otherwise
dispose of all or any portion of such Environmental Attributes to any Person other than Truckee Donner.
UAMPS makes no written or oral representation or warranty, either express or implied, regarding the
current or future existence of any Environmental Attributes.
Reporting of Ownership of Environmental Attributes. During the Term, UAMPS shall not report to
any Person that the Environmental Attributes belong to anyone other than Truckee Donner, and Truckee
Donner may report under any such program that the Environmental Attributes purchased hereunder
belong to it.

POOLING APPENDIX
This Pooling Appendix made 1 st day of February, 2010 between Utah Associated Municipal Power
Systems ("UAMPS"), City of Fallon, Nevada ("Fallon") and Truckee Donner Public Utilities District("Truckee
Donner"). UAMPS, Fallon and Truckee Donner are sometimes individually referred to herein as Party and
sometimes collectively referred to herein as Parties. The Parties to this Pooling Appendix agree to the
following provisions and agree to pay all costs of this transaction through the UAMPS monthly power bill.
PURPOSE
Fallon and Truckee Donner have entered into a Western Area Power Administration Contract#07-
NSR-01026 for Energy Exchange Services for the Stampede Resource. [Non-UAMPS Project]
AUTHORITIES AND RESPONSIBILITIES
The Parties have agreed that all of the Stampede Resource will be delivered to Truckee Donner
beginning February 1, 2010. In exchange, Truckee Donner will sell 500 kW of its UAMPS resource mix to
Fallon at a rate of$37/MWh subject to annual true up below, minus the REC valuation. The REC valuation
is calculated as the average of the WECC Green-E Wind (non-wregis) Bid and Offer prices as listed in the
bi-annual table attached hereto as exhibit A.
Truckee Donner will provide to UAMPS a schedule of output of the Stampede Resource on a
prescheduled basis in order to allow UAMPS to meet its obligations to schedule the resource with (Sierra
Pacific Power Company) SPPC. Schedules will be in whole megawatts with the difference between
metered generation and schedule accounted for as a metered resource of Truckee Donner subject to such
accounting being accepted by SPPC. Truckee Donner shall notify UAMPS of any planned service
interruption at least twenty-four hours prior to the interruption occurrence.
The Parties agree that during January of each year, a true up of MWh and dollars will be evaluated
and agreed upon by Truckee Donner and Fallon.
TERM
The term of this Appendix begins February 1, 2010 through December 31, 2013 unless terminated
by a Party providing 60 day written notice to the other Parties. Any termination prior to December 31, 2013,
will require an agreement of Truckee Donner and Fallon on an energy delivery methodology beginning the
first day of the month following the termination date.
CHARGES
Administration: UAMPS will charge and Truckee Donner will pay the scheduling and reserve
fees as adopted by the Board of Directors, from time to time, for all MWh delivered. The charges will be
invoiced to Truckee Donner on the UAMPS Power Bill.
Wheeling: Truckee Donner and Fallon are providing the transmission service through their
respective service agreements under the SPPC GATT.
Other. Any other cost incurred by UAMPS due solely to this Pooling Appendix, including but not
limited to transmission costs, scheduling costs, power purchase costs, administration costs and legal costs
will be the responsibility of Truckee Donner and Fallon and invoiced through the UAMPS Power Bill.

The Parties have agreed that all of the Stampede Resource will be delivered to Truckee Donner
beginning February 1, 2010. In exchange, Truckee Donner will sell 500 kW of its UAMPS resource mix to
Fallon at a rate of$37/MWh, subject to annual true-up below, -minus the REC valuation and UAMPS
transmission rate. The REC valuation is calculated as the average of the WECC Green-E Wind (non-
wregis) Bid and Offer prices as listed in the attaGhed table attached hereto as Exhibit A. The
transmission rate is determined by the UAMPS Board of Directors annually.
Truckee Donner will provide to UAMPS a schedule of output of the Stampede Resource on a
prescheduled basis in order to allow UAMPS to meet its obligations to schedule the resource with Sierra
Pacific Power Company "SPPC . Schedules will be in whole megawatts with the difference between
metered generation and schedule accounted for as a metered resource of Truckee Donner subject to such
accounting being accepted by SPPC. Truckee Donner shall notify UAMPS of any planned service
interruption at least twenty-four hours prior to the interruption occurrence.
The Parties agree that during January of each year, a true up of MWh and dollars will be evaluated
and agreed upon by Truckee Donner and Fallon.
TERM
The term of this Appendix begins February 1, 2010 through December 31, 2013 unless terminated
by a Party providing 60 day written notice to the other Parties. Any termination prior to December 31, 2013,
will require an agreement of Truckee Donner and Fallon on an energy delivery methodology beginning the
first day of the month following the termination date.
CHARGES
Administration: UAMPS will charge and Truckee Donner and Fallon will pay the scheduling and
reserve fees as adopted by the Board of Directors, from time to time,for all MWh delivered. The charges
will be invoiced to Truckee Donner and Fallon on the UAMPS Power Bill.
Wheeling: Truckee Donner and Fallon are providing the transmission service through their
respective service agreements under the SPPC GATT.
Other. Any other cost incurred by UAMPS due solely to this Pooling Appendix, including REC
fees, legal costs or another other costs, with the exception of transmission costs,
scheduling costs, power purchase costs and—administration costs., will be the responsibility
of Truckee Donner and Fated-invoiced through the UAMPS Power Bill.

POOLING APPENDIX
This Pooling Appendix made 1 St day of February, 2010 between Utah Associated Municipal Power
Systems ("UAMPS"), City of Fallon, Nevada ("Fallon") and Truckee Donner Public Utilities District("Truckee
Donner"). UAMPS, Fallon and Truckee Donner are sometimes individually referred to herein as Party and
sometimes collectively referred to herein as Parties. The Parties to this Pooling Appendix agree to the
following provisions and agree to pay all costs of this transaction through the UAMPS monthly power bill.
PURPOSE
Fallon and Truckee Donner have entered into a Western Area Power Administration Contract#07-
NSR-01026 for Energy Exchange Services for the Stampede Resource. [Non-UAMPS Project]
AUTHORITIES AND RESPONSIBILITIES
