Glenshire Mutual Water Company
Please review the attached resolution adopted by the Board of Directors of Glenshire
Mutual Water Company. Glenshire is experiencing increasing levels of arsenic in their
wells. They wish to discuss the possibility of becoming part of the TDPUD system.
I would like Board authority to enter into negotiations with Mark Thomas with a goal of
serving water to the Glenshire community. I think the basic arrangement would be
similar to our approach to Donner Lake. Our assumption of water service to Glenshire
would impose no costs on our current customers. The cost of any water system facilities
needed to serve Glenshire would be home by Glenshire customers.
I believe that we would need to annex the remainder of Glenshire into our District, so this
would require LAFCo action. This has implications for electric and broadband services
that we need to discuss.
Recommendation
I recommend that the Board authorize the District's General Manager to negotiate with
the appropriate representatives of Glenshire Mutual Water Company to develop the
terms and conditions under which this District would become the water purveyor in
Glenshire.
I further recommend that the Board authorize the General Manager to begin the process
of annexing the part of Glenshire that is outside District boundaries into the District's
service territory.

OF THE BOARD OF DIRECTORS OF THE
GLENSHIRE MUTUAL WATER COMPANY, INC.
AUTHORIZATION TO BEGIN
NEGOTIATIONS FOR
CONSOLIDATION WITH THE
TRUCKEE DONNER PUB
WHEREAS,Article VI, Section 2 of the Bylaws, stipulates that the Board of Directors
may authorize any officer or officer(s), agent or agent(s),to enter into any contract or execute
and deliver any instrument in the name of the corporation.
WHEREAS,the Directors authorizes Mark Thomas to begin negotiations with the
Truckee Donner Public Utility District to acquire Glenshire Mutual Water Company Inc.
NOW, THEREFORE, BE IT RESOLVED AS FOLLOWS:
1. Mark Thomas, General Manager, is hereby authorized to negotiate the terms for
Glenshire Mutual Water Company's consolidation with the Truckee Donner PUD.
2. The actual decision for GMWC to become part of the TDPUD is dependent upon
the vote of the shareholders. According to the By Laws, twenty(20)percent of the issued and
subscribed shares of the Corporation, represented by proxy,shall be necessary for the transaction
of business.
The motion to adopt this Resolution was made by Vice President Knickerbocker and
seconded by Director Funston at a meeting duly called and held on February 20, 2001 at the
Corporate Office at 14630 Glenshire Drive. Roll call vote was as follows:
AYES: Directors Gardner, Funston, Knickerbocker, Money and Stock
