SPECIAL BOARD MEETING MINUTES
TDPUD BOARD ROOM, 11570 DONNER PASS ROAD, TRUCKEE, CA
6:00 PM, WEDNESDAY, NOVEMBER 20, 2024
1. Call to Order
The meeting of the Board of Directors of the Truckee Donner Public Utility District
was called to order by President Bender at 6:01 p.m.
2. Roll Call
Directors Present: Harris, Laliotis, Vice President Finn and President Bender
Directors Absent: Aguera
Employees Present: Brian Wright, Jared Carpenter, Mike Salmon, Steven Gross,
Chad Reed, Jillian Steward, Steven Poncelet, Alex Spychalsky, Allison
McEneaney, Sarah Kraker
Other: Steve Gross, General Counsel
3. Pledge of Allegiance
Vice President Finn led the Flag Salute.
4. Changes to the agenda
No changes were made to the agenda.
5. Public Comment
No public comment was received.
DIRECTOR UPDATE
6. Director Harris thanked employees for keeping the lights on, water flowing, bills
collected and paid during these challenging times.
Director Laliotis expressed appreciation to staff for communication of the potential
Public Safety Outage Management (PSOM). He thanked everyone that ran in the
November election for the TDPUD Board of Directors.
Vice President Finn reported on the following:
• Thankful the PSOM did not materialize.
• Attended Climate Transformation Alliance, focused on programming.
• Attended Citizens Climate Lobby committee of Climate Transformation
Alliance on thermal networks.
• Apologized to staff for another Board member comment made at the last
meeting about not regularly receiving pre-audit engagement letters from the
District's auditor. Director Harris responded. President Bender and Director
Laliotis also commented. Director Harris expressed regret for how her

comments were presented.
DEPARTMENT UPDATES
7. General Manager Brian Wright shared the District did a good job on getting the
information out about the PSOM warning notice by NV Energy. He conveyed the
power outage event today was unrelated to the PSOM notice.
Director Harris excused herself from the meeting at 6:17 p.m.
CONSENT CALENDAR
8. Consideration of Appointing the General Manager as the District's Negotiator for
the Donner Lake Reserved Water Agreement with Truckee Meadows Water
Authority.
There were no public comments.
Appointed General Manager Brian Wright as the District's Negotiator for Real
Property pertaining to the Donner Lake Reserved Water Right Agreement with
Truckee Meadows Water Authority.
A motion was made by Director Laliotis and seconded by Vice President
Finn to approve Consent Calendar Item 8. The motion passed (3-0,
Absent: Aguera and Harris) by roll call vote.
ACTION ITEMS
9. Consideration of Adopting Resolution 2024-21 Approving the Execution of a Power
Sales Contract with Utah Associated Municipal Power Systems.
Jared Carpenter, Electric Utility Director, gave the staff report.
There were no public comments.
Board Members asked questions and comments, and staff responded.
Vice President Finn moved and Director Laliotis seconded to adopt
Resolution 2024-21 Approving the Execution of a Power Sales Contract
with Utah Associated Municipal Power Systems. The motion passed (3-0,
Absent: Aguera and Harris) by roll call vote.
10. Consideration of Approval of a 2024 Q3 Power Cost Adjustment (PCA) of $0.0096
credit per kWh Billed in December 2024 and January 2025.
Mike Salmon, Chief Financial Officer, presented the staff report.
There were no public comments.
Questions and comments were made by Board Members, and staff

responded.
It was moved by Director Laliotis and seconded by Vice President Finn
to approve the Power Cost Adjustment for 2024 Q3 of $0.0096 credit per
kWh billed in December 2024 and January 2025. The motion passed (3-0,
Absent: Aguera and Harris) by roll call vote.
CLOSED SESSION

Real Property: Donner Lake Reserved Water Right Agreement with Truckee
Meadows Water Authority; District Negotiator: General Manager, Brian Wright,
Under Negotiation: Reserved Water Right Terms.

Labor Negotiator General Manager, Brian Wright.
13. Closed Session Pursuant to Government Code Section 54957 Public Employee
General Manager's Performance Plan Review.
14. Closed Session Pursuant to Government Code Section 54956.9(d)(1), Conference
with Legal Counsel, Existing Litigation - Kuhlemier v. TDPUD, United States District
Court, Eastern District of California, Case 2:24-cv-02951-AC.
15. Closed Session Pursuant to Government Code Section 54956.9(d)(1), Conference
with Legal Counsel, Existing Litigation - Claim of Regina Cooley.
16. Closed Session Pursuant to Government Code Section 54956.9(d)(1), Conference
with Legal Counsel, Existing Litigation - Claim of Anabel Sanchez.
There were no public comments.
At 7:30 p.m. President Bender recessed the meeting to Closed Session for the
purposes stated above.
The meeting reconvened at 9.20 p.m. with no reportable action.
