Process for Appointing and Establishing Compensation for
Officers of the District
WHEREAS, per Section 16111 of the California Public Utilities Code, the officers of the
District, other than the Board of Directors, are:
a) A clerk, who is also ex officio secretary of the board
b) An accountant
c) A treasurer
d) A general manager
and;
WHEREAS, per Section 16112 of the California Public Utilities Code the officers of the
District other than the board of directors shall be appointed by the Board of Directors, hold
office at the pleasure of the Board of Directors, and receive such compensation as is
provided for by the Board of Directors by ordinance; and
WHEREAS, the Board of Directors have appointed the other officers of the District; and
WHEREAS, the Board of Directors approved a new employment agreement with its General
Manager and established compensation in 2021 via the adoption of Ordinance No. 2021-
02; and
WHEREAS, the Board of Directors desires to update and clarify the process for appointing
and establishing compensation for the other officers of the District.
NOW, THEREFORE, BE IT ENACTED, by the Board of Directors of the Truckee Donner
Public Utility District as follows:
1. Any employee of the District appointed by the Board as one of the officers of the
District shall serve in such role at the pleasure of the Board and independently
and separately from their employment with the District, and if their appointment
as an officer is terminated by the Board for any reason, said termination shall be
without any procedural or due process rights and shall be separate and
independent from any decision regarding their employment with the District.
2. When an employee of the District appointed by the Board as one the officers of
the District is separated from their employment with the District, their
appointment as an officer of the District shall terminate automatically with their
separation from the District.

3. The District Clerk, District Accountant and District Treasurer shall be
compensated at One Hundred Dollars ($100.00) per year for serving as and
providing the services of their respective offices.
4. The General Manager shall serve per the terms established and set forth in the
Employment Agreement as adopted by the Board of Directors via Ordinance No.
2021-02.
5. From the effective date of this Ordinance and thereafter, the Board of Directors
may set compensation for officers of the District other than Board Members via
Resolution.
6. The District Clerk is directed to publish this Ordinance in accordance with the
laws of the State of California.
PASSED AND ADOPTED by the Board of Directors of the Truckee Donner Public Utility
District at a regular meeting thereof duly called and held within said District on the 7t" day
of May, 2025 by the following vote:
AYES: Murrell, Randall, Bender, Laliotis and Finn
NOES: none
ABSENT: none
