Subject: AGREEMENT FOR GEOTECHNICAL TESTING SERVICES
BACKGROUND:
The Board previously authorized staff to issue a Request for Proposals from qualified firm to
perform Geotechnical Testing Services for the District's Summer 2002 pipeline construction
projects.
A total of eight proposals were received and reviewed by District Staff. Based upon a review
of the proposals, two firms were short-listed - Holdrege & Kull and Converse Consultants.
This review considered company experience, experience and qualifications of proposed
staff members, location of proposed staff members and proposed methodology as outlined
in the Proposal.
Staff then considered the fee proposals and selected Converse Consults as the favored firm
based the combination of experience, methodology and the proposed price schedule.
RECOMMENDATION:
The Board authorize staff to execute an Agreement for Geotechnical Testing Services with
Converse Consultants based on the attached the attached hourly rates and unit prices.

SUMMER 2002 GEOTECHNICAL TESTING
Basic Hourly Rate: $45/hour
Prevailing Wage
Hourly Rate

Travel Time: No charge for routine scheduled services provided by

Charge per
Compaction test: No charge for compaction tests when the standard
hourly rate is the basis for charges. If the project
were charged on a per test basis (the RFP states a
total of four tests per day— two tests per project), the
fee would be $50/test.
Standby time: $45/hour

It is our opinion that project services can best be provided at the basic hourly rate
basis. In this manner, Converse would be free to work with the contractor to
determine the optimum moisture and compactive effort without any extra charges
to the Truckee Donner Public Utility District (TDPUD). As stated in the proposal,
it is our opinion that obtaining the proper compaction and product will be a team
effort between the contractor, TDPUD, and Converse. If reimbursed on an hourly
basis, this allows Converse the time to work with everyone involved to produce
the best product for TDPUD. Only the number of hours allowed and approved by
TDPUD would be charged.
Schedule of Fees
Introduction
It is the objective of Converse to provide to its clients high quality professional and technical services and a continuing source of
professional advice and opinions. Geotechnical/Environmental services will be performed in a manner consistent with that level of
care and skill ordinarily exercised by members of the profession currently practicing in the same locality under similar conditions.
This fee schedule is valid through January 31,2003.

An overtime charge of 50 percent of the above hourly rates will be added for hourly personnel (No. 1 through No. 6) for time in
excess of eight hours per day and for all time on Saturdays, Sundays, and holidays. A minimum charge of three hours will be
made for each day of requested or required field service.
Consultation and Litigation
Fees for special consultation, for consulting boards and for services in connection with litigation are charged on a daily basis; fee
schedules are available on request.
Special Equipment and Services
1. Additional charges for field and laboratory equipment, materials and miscellaneous items will be charged as shown
on Schedules I, 11 and III (attached if applicable).
2. Use of micro-computer with its peripheral equipment and programs shall be charged at$10 per hour.
3. Use of AutoCad with its peripheral equipment and programs shall be charged at$20 per hour.
4. Charges for company-owned drill rig shall be charged as shown on Schedule of Fees, SW-D-02.
Expenses
1. In-house reproduction expenses are charged at 25 cents per page, blueprints at $1.00 per page plus postage and
handling.
2. Subcontracted exploration expenses (drilling, trenching, etc.)are charged at cost plus 15 percent.
3. Travel and subsistence expenses (transportation, room and board, etc.) for individuals on projects requiring travel
and/or living away from a home office are charged at cost plus 15 percent.
4. Automobile and truck expenses are charged at cost plus 15 percent or at a rate of 50 cents per mile for company-
owned vehicles traveling between home office and project.
5. Other out-of-pocket expenses (aerial photos, long-distance telephone calls, permits, bonds, outside printing services
and tests, etc.)are charged at cost plus 15 percent.
6. Facsimile charges are$1.00 per text sheet long distance.
Invoices
1. Invoices will be submitted to the client on a monthly basis, and a final bill will be submitted upon completion of
services, Invoices will show charges for each category of personnel and expense classifications.
2. Payment is due upon presentation of invoice and is past due thirty (30) days from invoice date. In the event Client
fails to pay any payment to Converse when due, Converse may immediately cease work hereunder and/or withhold
reports until said payment, together with a service charge at the rate of eighteen percent (18%) per annum (but not
exceeding the maximum allowed by law) from the due date, has been received. Further, Converse may at its sole
option and discretion refuse to perform any further work irrespective of payment from Client in the event Client fails to
pay Converse for services rendered when said payments are due.
3. Attorney's fees or other costs incurred in collecting any delinquent amount shall be paid by Client.
General Conditions
' The terms and provisions of the Converse General Conditions are incorporated into this fee schedule as though set forth in full. If

Laboratory Testing
Compensation for laboratory testing services on a unit charge basis will be made in accordance with this schedule. Cost of tests not on this schedule
will be by quote and/or in accordance with our current hourly fee schedule. Our services will be performed in accordance with the General Conditions,
CC-GC-00. Prices include laboratory testing, supervision and review, and reporting for samples delivered to our laboratory. Field sampling and lesting
are not included unless specifically noted.
