BOARD OF DIRECTOR-MANAGER RE LAT I oN'SH I P
NOW '11[ER1 PORE BE IT RESOLVED, by the Board of Directors of the
-ftTruaec Donner Public Utility District that:
A• The truckee Donner Public utility Pistr1.ct recognizes, establishes
and maintains the following guidelines in their relationship
w-i th the Manager:
I. it is recognized that good management is the most
important factor in the success of the District.

3. All policies of the Board o+1 ") -r('ectorS shall be promul-
gated to regular and special flied ings, acting collect-
ively as a' Board. The Manager i s delegated the respons-
ibility of earring out such policies.
4. It shall be the po l i.c-v of the lioard of Di rc ct o rs to
refrain, as l diV i duals, from discussing T�ial���`:�eTTtent
problems with the personnel of: tl-ie Distr-ict . At the
request of the NIwiager the Board of Directors may
confer with personnel :it regular or special meetings
of the Board.

6. Primarily, the purpose of this policy is to define the
relationship that shall exist between the Board of .
Directors, who are the elected representatives of the
District, and Manager, who is employed by the Board of
Directors. The Board of Directors recognizes that effective
management o j the District can exist only through mutual
understanding and complete cooperation. between the Board
of Directors and the Manager. The Manager is expected to
produce results and give an account to the Board of Directors
for his stewardship. His performance cannot be of the
best tun les s he is give latitude to excerci se independent
judgment in executing policies of the Board of Directors.
The Board of Directors acknowledges that obligation, and
gives the Manager that latitude of judgment and discretion,
, 11d expects faithful performance in carrying out all of the
1;01.icies of the Board of Directors.
The Board of Directors recognizes its responsibility for
the employment of the Manager, and further the additional
responsibility for a systematic appraisal of the Manager's
performance in order that growth, development and effect-
ive improvements are encouraged.
