ENTERING INTO AGREEMENT WITH THE
STATE OF CALIFORNIA, DEPARTMENT OF
GENERAL SERVICES, COMMUNICATIONS DIVISION,
FOR SERVICE
WHEREAS, the State of California, Department
of General Services, Communications Division, is authorized
under State Government Code Section 14624 to render service
.to local political subdivisions; and
WHEREAS, the Truckee-Donner Public Utility
District is desirous of having the Department of General
Services provide maintenance and repair service to the
District ' s radio equipment.
NOW, THEREFORE, BE IT RESOLVED by the Board
of Directors of the Truckee-Donner Public Utility District
as follows:
That the President of the Truckee-
Donner Public Utility District is
hereby authorized to enter into an
41" agreement with the Department of
General Services for the repair and
maintenance of the District ' s radio
equipment. A copy of the agreement
which is so authorized is attached
hereto, marked Exhibit "A" , and
incorporated herein by this reference,,
PASSED AND ADOPTED by the Board of Directors
of the Truckee-Donner Public Utility District at a regular
meeting thereof duly called and held in the District
on the 17th day of April, 1978, by the following roll
call vote:

AGREEMENT
THIS AGREEMENT, made and entered into this 1st day of April , 1978 by and between the
State of California, Department of General Services, Communications Division, acting
by and through the Chief, Communications Divis ion g hereinafter called STATE, and the
Truckee—Donner Public Utility District hereinafter called DISTRICT.
WITNESSETH:
WHEREAS STATE is authorized under State Government Code Section 14624 to render
service to local political subdivisions.
WHEREAS DISTRICT is desirous of having STATE provide maintenance and repair service
to DISTRICT' s radio equipment
quipment listed on the attachment marked "Exhibit A" and made
a part of this agreement by reference.
NOW, THEREFORE, the parties do hereby agree as follows:
I. STATE agrees to provide radio maintenance and rep air service to DISTRICT on a
mutually agreeable schedule. In the event of a conflict between STATE and
DISTRICT service requirements, service to STATE equipment will have priority.
2e DISTRICT agrees to provide STATE technicians with instruction manuals and sche—
matics unique to its system equipment.
3* DISTRICT agrees to be responsible for establishing a method to be utilized for
verifying charges made and invoiced by STATE,
4. Equipment repairs required due to accidents or acts of nature, equipment modi—
fication, installation, and other work not within the category of normal main—
tenance will be performed by STATE upon request of DISTRICT* In such cases,
a separate written authorization using Form COM-207 will be required for each
job.

S. STATE, in addition to the radio maintenance services described above, is willing
to provide radio system engineering; services to DISTRICT. 8

include systems and equipment design engineering, specification and
preparation
review, equipment evaluation and testing, and FCC licensing. Engineering

services will be provided on an individual basis upon written request by
DISTRICT, A written estimate of costs for such engineering services will be
provided by STATE to DISTRICT prior to proceeding with any work.
6. Costs for services to be provided by STATE shall be full reimbursed b DISTRICT

at an hourly rate computed in accordance with State Administrative Manual Sec-
tion 8755.1. DISTRICT agrees to pay to the STATE, upon receipt of an invoice,
STATE's current rate of Twenty Hine Dollars and seventy"-five cents ($29.75) per
hour for radio maintenance service, including repair parts, for services as are
actually rendered. Travel to and from site of service will be at the $29.75
hourly rate. Emergency overtime calls for repair services after normal State
working hours and on official State holidays will be at the above hourly rate
with a minimum four--hour charge. Invoices will be resented monthly as neces-
sary,
7. DISTRICT agrees to indemnify, defend and save harvaless the STATE its officers
agents and employees from any and all claims and losses accruingor resulting

and losses accruing or resulting to any person, firm or corporation ion who may be

8. This agreement commences April 1 , 1978, and terminates .June 30 978 b
