3 TRUCKEE-DONNER PUBLIC UTILITY DISTRICT
4 BY-LAWS
5 WHEREAS to promote the convenient, orderly and
6 just conduct of the business of the Board of Directors of the
7 TRUCKEE-DONNER PUBLIC UTILITY DISTRICT, the following rules be
8 and the same are hereby adopted and shall supersede the rules
9 heretofore observed by thi s Board.
10 §1. Quorum. Three (3) members of said Board
11 shall constitute a quorum. No business shall regularly be
12 entered upon until a quorum is present; nor shall business
13 regularly be proceeded with when the members are reduced below a
14 quorum. 1
15 §2. Duties of Officers. In addition to the
16 duties specified by applicable law and other provisions of these
17 rules, . as well as resolutions and ordinances of the District, the
18 officers of the District shall have the following duties:
19 (a) The President shall , when present,
20 preside at all meetings of the District. The President should
21 cause an agenda to be prepared and distributed by the Clerk/
22 Ex Off icio Secretary in advance of the meeting, which shall list
23 each item of business or correspondence to come before the
24 meeting insofar as is known. The President shall act as of f icial
25 spokesman of the District at the discretion of the Board, execute
26 contracts and other documents on behalf of the District when
27 authorized by the Board of Directors , and shall perform such
28 other duties as are assigned from time to time. 2
29 (b) The Vice President shall perform the
30 duties of the President in the absence or disability of the

5 (e) The District Counsel shall be the
6 Parliamentarian of the District, shall advise it with respect to
7 the applicable laws, interpret rules, By-laws and policies,
8 coordinate actions with the other consultants , and shall perform
9 such other acts as requested by the Board of Directors, 5
10 t f) The officers of the District shall be
11 elected at the first meeting in December of each year for a one
12 year term. It shall be the policy of the Board to attempt to
13 give each Director the opportunity to serve as President and
14 Vice-President for one year during their four year term. Not-
15 withstanding the foregoing, an incumbent president or vice-
16 president may be re-elected to that office. The officers serve
17 at the pleasure of the Board and may be removed from office prior
18 to the expiration of their one (1) year term. 6
19 §3. Place of Meeting. Until changed by further
20 resolution amending these rules, the place of meeting of the
21 Board of Directors shall be in the Board Room of the TRUCKEE-
22 DONNER PUBLIC UTILITY DISTRICT, in Truckee, California. When
23 appropriate notice has been given, any meeting may be scheduled
24 at another location within the District. The Board of Directors
25 may, upon a showing of special circumstances, hold Board
26 meetings outside the District. All legislative meetings of said
27 Board shall be open to the public and shall be held at said
28 office and place of meeting; provided, however, that meetings
29 duly opened at said office may be adjourned to such other place
30 or places within the confines of said District as may be found
31 convenient or necessary by the Board, and provided further that

1 sessions when permitted by law.
2 §4 . Time of Meeting. Pursuant to Ordinance No.
3 7703, the time for regular meetings of the Board is the first and
4 third Monday of each month at 7 :00 p.m. If and when said Monday
5 falls on a legal holiday, then said regular meeting shall be held

6 at 7 : 0 0 p.m. on the next legal day following said holiday.
7 §5 . Adjourned Meetin s. If the business coming
8 before the Board at any regular or adjourned meeting is not
9 finished on the day fixed for such meeting, or if for any reason
10 such adjournment is deemed proper, the Board may adjourn to such
11 time and place as may be specified in the Order of Adjournment.
12 When the Order of Adjournment fails to state the hour to which
13 the adjourned meeting is to be held, it shall be held at the hour
14 specified for regular meetings. In the event that an adjourned
15 meeting is not called, and a special meeting does not take place
16 prior to the next regular meeting, then the unfinished items
17 shall be placed on the agenda for the next regular meeting, 10,9
18 §6 . Special Meeting i A special meeting may be
19 called at any time by the President or by a majority of the
20 members of the Board, by delivering personally or by mail written
21 notice to each member of the Board and to each local newspaper of
22 general circulation, radio or television station requesting
23 notice in writing. Such notice must be delivered personally or
24 by mail at least 24 hours before the time of such meeting as
25 specified in the notice, The call and notice shall specify the
26 time and place of the special meeting and the business to be
27 transacted, No other business shall be considered at such
28 meetings by the Board. Such written notice may be dispensed with.
29 as to any member who at or prior to the time the meeting convenes
30 files with the Clerk/Ex Officio Secretary a written waiver of
31 notice. Such waiver may be given by telegram. Such written

1 present at the meeting at the time it convenes . -
2 §7 . Written Notice of All Meetings . In addition
3 to the requirements contained in other sections of these By-Laws
4 advance written notice shall be given for all meetings in the
5 following manner:
6 (a) A written notice of all meetings shall
7 be mailed to each Director as far in advance of the meeting as
8 possible, but, in any event, either mailed or expressly hand-
9 delivered so as to be received forty-eight (48) hours in advance
10 of the meeting. Notwithstanding the foregoing, and in accordance
11 with §6 herein, notice for all special meetings shall be made at
12 least twenty-four (24) hours in advance of said meeting. Any
1.3 Director may, at his discretion, file a signed waiver of such
14 notice with the District.
15 (b) Written notice of all meetings shall be
16 delivered or mailed as far in advance as possible, but, in any
17 event, to be received twenty-four (24) hours prior to the meeting,
18 to all newspapers , radio stations, individuals and entities which
19 have filed a request of such notice with the District and to all
20 parties with business pending on that particular agenda of the
21 meeting.
22 (c) Written notice of all meetings shall be
23 posted at the District office, the United States Post Office in
24 Truckee, the Nevada County Government Center, the Truckee Branch
25 of the Nevada County Library, the Truckee office of the Sierra
26 Sun, and such other locations as may from time to time be deter-
27 mined by the Board of Directors. 1
28 §8. Agenda. The Clerk/Ex Officio Secretary of the
29 District shall cause an agenda to be prepared which will state
30 the matter to be heard, the status of said matter, and specific
31 information which may be helpful to understand the agenda item.

I (a) The Clerk/Ex Of f icio Secretary of the
2 District and the President of the Board shall be jointly responsi-
3 ble for compiling the agenda for all regular meetings. In the
4 case of Special Meetings, the Clerk/Ex Officio Secretary and
5 those parties calling such meetings shall be responsible for the
6 preparation of the agenda.
7 (b) Each Director and members of the public
8 will have the right to request items to be placed on the agenda
9 for any specific meeting, either during any preceding meeting of
10 the Board, or in writing, or by other arrangement with the Clerk/
11 Ex Off Secretary or the President Such requests must be
12 made in a timely manner and shall comply with the deadlines
13 established for the preparation of the Notice of Meeting,1

I (p) Adjournment
2 §10 * Voting. Every action of the Board shall be
3 taken by ordinance, resolution, motion, election, or unanimous
4 consent, In the case of every action except one taken by simple
5 motion or unanimous consent, the roll of Directors shall be
6 called, and their individual votes recorded in the formal minutes.
7 All official Board actions will require the affirmative vote of
8 at least three (3) Directors,
9 §11. Statements from Visitors . All visitors and
10 members of the community attending Board meetings and having a
11 direct interest in any agenda item shall be permitted to address
12 the Board before a vote is taken on such item. They shall be en-
13 couraged to ask questions directly related to reports made to the
14 Board by members of the District ' s staff immediately after such
15 reports are made and prior to Board acton. 1
16 §12 . Approval of Minutes . The Clerk/Ex Officio
17 Secretary of the District shall cause to be prepared a clear and
18 accurate draft of the minutes of a meeting within ten (10) days
19 or as soon as possible thereafter. Said draft shall be mailed to
20 all Directors, the District Engineer, District Counsel , and any
21 participant in the meeting who has requested a copy thereof.
22 Whenever possible, written corrections should be submitted within
23 seven (7) days after receipt of the draft minutes. Copies of
24 the requested corrections shall then be submitted to the
25 Directors and Consultants within two (2) days after receipt
26 thereof. The minutes of the preceding meeting shall not be read
27 at any Board meeting unless a member of the Board shall request
28 it, but the President shall inquire whether there are any
29 corrections to the minutes and shall order them approved without
30 reading after any corrections ordered have been made. The
31 Secretary shall then prepare a final copy of the approved minutes

§13. Preservation of Minutes. The minutes of the
2 Board shall be kept by the Clerk/Ex Officio Secretary and t yp e-
3 written in a Minute Book with pages consecutively numbered,
4 There shall be attached to said minutes the Statement of the
5 General Fund, and such other attachments as may reasonably be
6 requested or necessary to substantiate the record of the p ro-
7 ceedings, including but not limited to correspondence, memoranda,
8 and reports. The minutes of each meeting shall be signed by the
9 Secretary and by the officer who shall preside at the meeting at
10 which said minutes are approved. The Clerk/Ex Officio Secretary
11 is charged with the custody of all the papers , books and documents
12 of the Board and shall make the same available to p ublic in-
13 spection during all business hours* Furthermore, the Clerk/Ex
14 Officio Secretary shall maintain a minute record for each Director
15 which contains final copies of all minutes. 1 r 4
16 §14. Taping of Meetings. The Clerk/Ex Of f icio
17 Secretary shall also arrange to have tape recordings made of the
18 meetings of the Board except when the Board goes into executive
19 session. The Clerk/Ex Officio Secretary shall store the tapes in
20 the District vault, and shall make them available to anyone up on
21 arrangement with the Manager, j,
22 §15. Committees. Standing and select committees
23 for the performance -of such duties as may appear necessary and
24 proper shall from time to time be appointed by the President. In
25 the absence of any members of any committee, the presiding
26 officer may appoint a substitute who shall serve during such
27 absence.
28 §16 . Budgets. The Manager shall at the first
29 regular meeting in October of each year present a proposed budget
30 for the ensuing calendar year to the Board, and the Board shall
31 adopt such budget by Resolution with any changes ordered by it,

1 'Manager,, Budget Committee, or individual Board members may
2 recommend changes in the budget from time to time; and the Board
3 may adopt said changes. A public hearing -shall be held prior to
4 adoption of the budget, 6
5 §17 . Board Vacancies. All vacancies occurring on
6 the Board of Directors , for whatever reason,, shall be filled
7 according to the rules contained in the California Government
8 Code, 12
9 s18 . Parliamentary Procedure. As to all matters
10 not hereinabove provided for, the conducting of the business of
11 the Board and its parliamentary procedure shall conform to the
12 "RULES OF ORDER REVISED" by H.M. Robert, which "RULES OF ORDER"
13 are by reference made a part of this resolution. 1
14 �19 . Amendment of By-Laws. Any proposed amend-
15 ment to the By-laws must be submitted in writing to the Clerk/
16 Ex Officio Secretary of the District. The Clerk shall cause
17 a copy to be distributed to each Director and shall cause the
18 same to be placed on the agenda for the next regular meeting
19 of the Board of Directors, In order to become effective, the
20 amendment, or any modification thereof, shall require a vote
21 of the majority of' the Board.

the board, hold office at its pleasure, and receive such compensation

§ 54957. Executive sessions; exclusion of witnesses. Nothing
contained in this chapter shall be construed to prevent the legislative
body of a local agency from holding executive sessions during a reg•
ular or special meeting to consider the appointment, employment or
dismissal of a public officer or employee or to hear complaints or
charges brought against such officer or employee by another public
officer, person or employee unless such officer or employee ee regUests

a public hearing. The legislative body also may exclude from any
such public or private meeting, during the examination of a witness,
any or all other witnesses in the matter being investigated by the legis-
lative body.
Nothing in this chapter shall be construed to prevent any board,
commission, committee, or other body organized and operated by any
private organization as defined in Section 54952 from holding execu-
tive sessions to consider (a) matters affecting the national security,
or (b) the appointment, employment or dismissal of an officer or em-
ployee or to hear complaints or charges brought against such off icer
or employee by another officer, person, or employee unless such officer
or employee requests a public hearing. Said body also may exclude
from any such public or private meeting, during the examination of a
witness, any or all other witnesses in the matter being investigated

nance, resolution, by-laws, or by whatever other rule is required for

meetings. Unless otherwise provided for in the act under which the

held within the boundaries of the territory over which the local agency
exercises jurisdiction. If at any time any regular meeting falls on a
holiday, such regular meeting shall be held on the next business day.
If, by reason of fire, flood, earthquake or other emergency, it shall be

the duration of the emergency at such place as is designated by the

manner as provided in Section 54956 for special meetings, unless such
