HomeMy WebLinkAbout1984-08-06 Min Ord - Board RESOLUTION NO. 84m, 48 OF THE TRUCKEE DONNER PUBLIC UTILITY DISTRICT CHANGING DESIGNATED ATTORNEY OF THE DISTRICT'S GENERAL COUNSEL WHEREAS, the predecessor law firm of Porter, Simon, Graham and Phelps has served as General Counsel to the District since January 19, 1981; and WHEREAS, James Ernest Simon of said firm has been designated as the member of the law firm generally responsible for all District legal affairs, pursuant to Resolution 81o.-079 and WHEREAS, John M. Phelps has become a member of the firm and has over the last several years performed a considerable amount of the District' s legal work; and WHEREAS, the law firm has proposed that John M. Phelps be designated as the attorney generally responsible for conducting the f irm I s activities as the District's General Counsel; and NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Truckee Donner Public Utility District as follows: 19 Resolution 81aw07 is hereby rescinded. 29 The law firm of Porter, Simon, Graham and Phelps, Professional Corporation of Truckee, California, shall continue in its appointment as General Counsel of the District, to serve at the pleasure of the Board, 3e John M. Phelps, a member of that firm, shall attend each regular meeting of the Board, unless excused by the Board, and shall be reasonably available to attend special meetings, upon appropriate notice. Except with the consent of the Board, all advice and representation of General Counsel shall be conducted by or through Mr. Phelps. With the consent of the Board President, the firm may designate another attorney knowledgable in the District' s legal affairs to attend any meeting Mr. Phelps is unable to -attend. 4* General Counsel shall continue to be compensated at a rate of Seventy-Five Dollars ($75) per hour for all services requested by the Board or the General Manager and performed by General - Counsel including, but not limited to, consultation, legal research, attendance at regular, special or committee meetings, preparation for all meetings, litigation, major project review, and legal opinions. General Counsel shall submit bills for such compensation monthly', and shall provide such breakdown of such compensation among the functions of the Board as the General Manager shall require, 5e This resolution shall take effect immediately, PASSED AND ADOPTED by the Board of Directors of the Truckee Donner Public Utility District at a meeting held within said '9 A District on the 6th day of August, 1954, by the following roll call vote: AYES: Cooley, Corbett, Duffy, Hamilton and Maass NOES: None, ABSENT: None.
