That the telemetry maintenance specifications attached hereto are hereby approved. 2. That the President of the Board -of Directors is hereby directed :r to issue a call for proposals based on the attached specifica- tions. 3. That the date and time established for the bid opening is Friday, .July 13, 1984, at 4:00 P.M. PASSED AND ADOPTED by the Board of Directors of the Truckee Donner Public Utility District at a regular meeting thereof duly called and held in the Dis- trict on the 18th day of June 1984, by the following roll call vote: s AYES: Cooley, Corbett, Duffy and Maass. Craig, Deputy Distric C erk NOTICE TO VENDORS TELEMETRY MAINTENANCE CONTRACT Notice is hereby given to vendors that sealed proposals will be received by the Truckee Donner Public Utility District up until the hour of 4:00 P.M. on Friday, .July 13, 1984, for.: a telemetry maintenance contract for the District's water system telemetry equipment. r. Specifications, form of proposal and proposed contract may be obtained by con- tacting the District at the address or telephone number below. The Truckee Donner Public Utility District specif ically reserves the right to reject any and all bids, waive irregularities or informalities in any or all bids, be the sole judge of the suitability of the items offered, and to accept any bid that it determines to be in its best interest. Truckee Donner Public Utility District Post Office Box 309 • 1157O Donner Pass Road * Truckee, California 95734 (916) 587-3896 SPECIFICATIONS TELEMETRY MAINTENANCE GENERAL It is the intent of the Truckee Donner Public Utility District to enter into a contract for a period of one year for, the maintenance of telemetry equipment. The telemetry equipment is used to monitor the water levels in various water sotrage tanks and to automatically signal well pumps to turn on or off in accordance with predetermined levels of water in the tanks. The existing telemetry system consists of three parts as follows: 1) The Tahoe Donner Subdivision is served by a portion of the District's water system which is controlled by a telemetry system designed and man- ufactured by Universal Engineered Systems. 2) The "District" i titer system consists of the Airport Well, Northside Well and Donner Trails Tank, and is controlled by a telemetry system de- signed and manufactured by Autocon. 3) The third part of our telemetry system was designed and installed by x Sandel-Avery Engineering, and controls a portion of the District water system comprising the areas known as Armstrong, Prosser Heights, South- side Well, Tonin i Spring, Sierra Meadows Booster, Ponderosa Hydro and Martiswoods. The District's telemetry system was installed over a period of time by dif- ferent vendors, and no well-organized schematics, manuals or plans of the " tel_emetry system exist. The vendor is required to familiarize himself with the system prior to submitting a proposal by visiting the District facilities and inspecting the system in place. ' The District's Water Foreman should be consulted for an inspection of the telemetry system. } A I SPECIFIC The successful vendor shall be chosen on the basis of ability as judged in the District's sole reasonable discretion, and on the basis of combined monthly cost and cost of submitting the technical description of the tele- metry system. The successful vendor shall be required, within ten days of notice of selection, to execute the attached Telemetry Maintenance Contract. Said Telemetry Maintenance Contract contains the specific requirements im- posed on the vendor and the District. PLH/smc 6/21/84 r r f2- 1 b i FORM OF PROPOSAL TELEMETRY MAINTENANCE CONTRACT FOR TRUCKEE DONNER PUBLIC UTILITY DISTRICT I hereby acknowledge' that I have examined the Truckee Donner Public Utility District specifications for the telemetry maintenance contract, including the NOTICE TO VENDORS and TELEMETRY MAINTENANCE CONTRACT and am familiar with all of the terms and conditions therein, and am able to comply with those terms and conditions. I propose to perform the work described in said documents for the follow- ing prices: 1 . Monthly maintenance fee of $ x 12 = $ 2. Total annual fee (sum of 1 and 2) _ $ Proposal o f: Name Doing business as: Name of company Signature of bidder Address Phone number PLH/smc` 6/21/84 . a z TELEMETRY MAINTENANCE CONTRACT This agreement is made between the' TRUCKEE DONNER PUBLIC UTILITY DISTRICT, a local public agency of the State of California, hereinafter referred to as "District-, and hereinafter referred to as "Contractor," with reference to the following facts. 'PURPOSE OF AGREEMENT r A) The purpose of this agreement is to state the terms and conditions under x which contractor will furnish preventative maintenance to the District's telemetry system. SERVICES TO BE PERFORMED 4 B) Contractor agrees that: a 1) It will supply all necessary services and parts- for the complete maintenance of the UES and Autocon telemetry networks both in the field and at the District office. This includes the data logger, but not the DEC writer. = 2) It will monitor telephone company equipment and line performance, report problems to them and expedite repairs and adjustments by them. 3) All small parts in the telemetry will be supplied by contractor, including relays and batteries. Parts for motors are not included. For Autocon equipment, the components on the boards will be covered, but not complete boards. Lamp replacement for UES and Autocon equip- ment is included. Contractor will bill the District for part costs over $100 per event. To shorten down time, contractor will attempt to keep most small parts in stock. 4) It will provide a monthly report of maintenance actually performed during the month showing hours worked and parts installed on work that has been performed,' and letters of recommendation on matters requiring immediate attention will be mailed to the District. 5) It will try to correct all problems within 24 hours of a call from the District, and will keep personnel informed as to progress, expected delays and probable time of completion. b) The District will consider as an alternate to be added to the main- tenance contract preparation and submittal to the District, within six months of the date the maintenance contract is executed, a complete tech- nical description of the telemetry system, including an inventory of equip- ment noting manufacturer, make, model and a schematic diagram. r t C} District agrees that: 1) It will assist contractor during severe winter conditions to gain access to a problem area or clear driveways in order to move in equip- ment too heavy to carry by way of skis or snowshoes. CHARGES D) The District shall -pay to contractor the sum of $ per month for the services described herein. E) The District shall pay to contractor the sum of $ upon contractor's submission of the technical description of the telemetry system called for in Section Bb of� this contract. F) If the District requests contractor to perform any services, provide any materials, or make any calls other than those specified in this agreement, the District shall pay contractor for such additional services. a INSURANCE G) Contractor shall furnish and keep, in full force and effect, at all times during the term of this agreement the following insurance: 1) Limit of liability for personal injury or accidental. death - one person $300,000; aggregate liability per accident, $1,000,000. 2) Limit of liability for property damage - one occurrence, $50,000; aggregate liability for loss per accident, $100,000. INCORPORATION OF OTHER DOCUMENTS REFERENCED H) The Notice to Vendors and Specifications are, by reference, made a part of this contract and are binding on the parties. TERM OF AGREEMENT I) The term of this agreement shall commence of of , and shall continue in full force and effect until , unless either party gives written notice of cancellation to the other party at -2- A t least thirty days in advance. NONASSIGNABILITY 4. R'. J) This agreement may not be assigned or transferred by either party. INDEMNIFICATION AND HOLD HARMLESS K) Contractor hereby releases and agrees to indemnify and save the District harmless, from and against any and all injuries to and death of persons, and injuries to property, or other interests, and any and all cla ims, duties, de- mands, costs, losses, damage, liability and lawsuits, howsoever the same may be caused, asserted at any time, by any and all persons, firms, corporations and other entities, which directly or indirectly result from the services to be performed under the terms of this agreement. Such indemnif ication shall include reimbursement of attorneys' fees. L) Contractor further releases and agrees to f indemnify and save the District harmless, including reimbursement of attorneys fees, from and against any and all injuries to and deaths of, persons and injuries to property or other interests, and all claims, duties, demands, costs, losses, damage, liability, and lawsuits, howsoever the same may be. caused, asserted at any time, by any and all persons, firms, corporations and other entities, directly or indirect- ly made or suffered by contractor, their agents, subcontractors, and employees, which directly or indirectly result from the services to be performed under the terms of this agreement. GOVERNING LAW, ENTIRETY OF AGREEMENT AND PARTIAL INVALIDITY M) This agreement shall be governed by the laws of the State of California. It constitutes the entire agreement between the parties regarding its subject matter. If any provision in this agreement is held by any court to be invalid, void or unenforceable, the remaining provisions shall nevertheless continue in full force.
