Services provide maintenance and repair service to the District's .r:id-io equipment; ,-And WHEREAS, the current agreement with, the State of California, Depart- ment of General Services, Communications Division, is due -to expire on June 30, 1982; _ NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Truckee Donner Public Utility District as follows: That the President of the Truckee Donner Public Utility District is hereby authorized to enter into an agreeme�nt with the De-p(.1z't11Wnt of General Services for the repair and maintenance of the District's radio equipment from July 1, 1982, to June 30, 1983. Craig, Deputy District Clerk AGREEMENT THIS AGREE14EINT, made and entered into this Ist dc--:iy of July 1982, by and between the State of California , Department of General Services , Communications Division, acting by and thrOLlgh the Chief, Communications Division, hereinafter called STATE) and the Truckee Donner Public Utility District hereinafter called AGENCY* WITNESSETH: WHEREAS STATE is authorized under State Government Code Section 14624 to reader service to local policital subdivisions. WHEREAS AGENCY is desirous of having STATE provide maintenance and repair service to AGENCY'S radio equipment listed on the attachment marked "Exhibit A" and made a part of this agreement by reference. NOW, THEREFORE, the parties do hereby agree as fol lows 9 1* STATE agrees to provide radio maintenance ;and repair service to AGENCY on a mutually agreeable schedule. In the event of a conflict between STATE and AGENCY service requirements , service to STATE eq uipment will have pri I ority,, 2. AGENCY agrees to provide STATE technicians with 'Instruction. manuals and schematics Unique to its system equipment. 3* AGENCY agrees to be responsible for establishing a method for verifying charges made and invoiced by STATE. 4* Equipment repairs required due to accidents or acts of nature, equipment modification, installation, and other work not within the category of normal maintenance will.. be performed by STATE upon request of AGENCY. In such cases a separate written authorizat.-LOLI 0 u s--1-n g, i'orm COM-207 witt be required for each job, 5. STATE., in addition to the radio maintena-ace services described above) is w'lling to provide radio system engineering services to AGENCY. Engineering services include systems and equipment design en gineering., specification preparation and review, equipment evaluation and testing, and FCC licensing. Engineering services will be provided on an individual basis upon written request by AGENCY. A written estimate of costs for such engineering services will be provided by STATE to AGENCY prior to proceeding with any work. Page 2 6. Costs for services to be provided by STATE shall be fully reimbursed by AGENCY at an hourly rate computed in accordance with State Administrative Manual Section 8755.1 . AGENCY agrees to pay to the STATE, upon receipt of an invoice, STATE'S current rate of $49.0o per hour for radio maintenance service, including repair parts , for services as are actually rendered. Travel to and from ^site of service will be at the above hourly rate. Emergency overtime calls for repair services after normal STATE working hours and on official STATE holidays will be at the above hourly rate with a minimum four-hour charge. Invoices will be presented monthly as necessary.. 7e AGENCY is required to schedule invoices for Payment to the STATE no later than 15 days after receipt of invoice. If errors are found in the in-voice or AGENCY disputes invoice charges or services rendered,, STATE is to be noti f ied immediately. Partial payment of an invoice without STATE'S approval is not all-owed. Failure to comply with STATE'S payment police as outlined above may result in cancellation of this agreement, 81, Agency agrees to indemnify, defend and save harmless the STATE , its officers, agents and employees from any and all claims and losses accruing or resulting in connecting with the performance of this agreement , and .from any and all claims and losses accruing or resulting to any person,, firm or corporation who may be injured or damaged by the AGENCY in the performance of this agreement. 90 This agreement commences July 1 , 1982 and terminates June 30, 1983 subject to the right of either party hereto to terminate this agreement at any time during the term hereof by giving the other party 60 days written notice of such termination. 10.
