RESOLUTION NO. 8304 OF THE TRUCKEE DONNER PUBLIC UTILITY DISTRICT AUTHORIZING EXECUTION OF THE AGREEMENT WITH THE PYRAMID LAKE PAIUTE TRIBAL COUNCIL AND DIRECTING THE GENERAL MANAGER TO NEGOTIATE THE PER KILOWATT HOUR SUM TO BE PAID FOR ELECTRICAL POWER GENERATED AND DISTRIBUTED BE IT RESOLVED by the Board of Directors of the Truckee Donner Public Utility District as follows: 1. The Board of Directors hereby adopts the agreement between the Truckee Donner Public Utility District and the Pyramid Lake Tribal Council, a copy of which has been attached hereto and entitled Exhibit "A", and authorizes its President to execute said agreeme' nt. 2. The General Manager, James M. Ward, is hereby authorized to negotiate any provision of the agreement in accordance with the direction given to him during closed session by the Board of Directors and in accordance with the terms of said agree- ment PASSED AND ADOPTED by the Board of Directors of the Truckee Donner Public Utility District at a meting held within said District on the 3rd day of January, 1983, by the following roll call vote: • AYES: Corbett, Huber., Kuttel, VanLandingham and Maass. District " and the Pyramid Lake Paiute Tribal Council , hereinafter referred to as "the Council, " with reference to the following facts : FACTS 1. The Council lodged protests against the District ' s � e District s applications upon the initial filing a.t�: a time • . when the Council_ was concerned that the Council ' s existing and e pending water rights .related to the Tr ' Truckee River r may have been adversely Y affected by the District ' s hydroelectric proposed � ctric development as hereinabove described. 3. A series of meetings has taken g place between representatives of the Council. and the District Districtp culminating •�,n a presentation by the District ' s General Manager g at the regular meeting of the Council on Frida December Y� r 3 , 3.982 , •in the Council chambers at Nixon, Nevada at which time and place, the Council, by majority vote , expressed s sed its willingness . P �.ngness to withdraw its protests based upon certain terms and conditions including, ng, but not limited to , payment b` the District • .l t to the Council of a fixed annual fee based u on the actual P power output of the proposed hydroelectric projects , __ 4 . The Board of Directors of the District t has considered various plans and alternatives , including an annual payment to the Council based upon the actual generation of electric tr_lc paver at the Boca, Prosser Creek and Stampede dam sites. Contempora.neouslN, with the execution of this Agreement, the Council shall take all action necessaryin order rd to permanently remove and withdraw i.t s protests of the Districts' pending applications as described in l above 'paragraph inc luding but not limited to adopting Resolution No. PL in the form attached hereto, marked Exhibit "A" and incor crated p herein by reference; and shall further refrain f ram challenging, pretesting, arguing against, or in an other way Y y the w� District' s efforts to develophydroelectric power�' p at all dam sites. PAYMENT OF FEE 6e On December 31 , of each year that each hydroelectric Y is power plan is actually operated and maintained by the District , the District shall pay to the Council_ a sure equal to 1 mil . 1.1 . Such meet ing shall 'include a review of the manner in which the hydroelectric power generated at the various dam sites is measured by metering equipment installed for the purpose o-f. determini.ng capacity and energy output from the hydroelectric plant s , The metering equipment shall be maintained by the District in accordance •with generally accepted utility practices, Representatives or the Council may witness regular tests of the metering equipment •and examine test i at records, generation records , and other_ information •pertinent to the operation and maintenance of the metering e quipment, upon reasonable notice to the District, All of the books and records of the 0. District pertaining to the hydroelectric generation plants shall be made available and open to the Council for its review and consideration in carrying out the terms of this Agreement at each such annual meeting, WAIVER OF DEFENSE 8,v Truckee-Donner Public Utility District will not raise as a defense to a claim by the Pyr amid Lake Pa iute Tr ibe for a water right to preserve Pyrami d Lake and to restore Lahontan cutthroat trout and cui-ui natural spawning in the Truckee River, that the hydroelectric project at Boca Dam was •built in reliance on the Truckee River Agreement or the final decree in the United -4- Oak" 7 7;Z-7 < 111111,''lilillilJill!illW84glroammu Ak;A RI04Wrl A WWI States v., Orr Water Ditch Company case or in reliance upon the fact that the Pyramid Lake. Tribe does not have an adjudicated water right for fishery purposes, NITROGEN LEVELS 90 The Truckee-Donner Public Utili ty District re presents that the hydroelectric project at Boca Dam will not increase. nitrogen saturation levels in the river below Boca Dam above levels which would be present were the hydroelectric project not in existence, as more fully set forth in the attached letter from Johannes J. DeVries., Ph.D. , P.E. , dated July 27 , 1982 , mar ked Exhibit "B" attached hereto and incorporated herein by reference. Truckee-Donner Public Utility District cngreps to take whatever steps are necessary to insure that nitrogen saturation levels are not increased* TERM OF AGREEMENT 10. This Agreement shall remain in full force and effect as it relates to each hydroelectric generating power plant for the .0 life of each such plant, and all renewal periods as determined in each License granted to the District by the Federal Energy Regulatory Commission* 5- .rAA Iii-1 L q t 0 Z*'Jillill F l�-9W no W 0, 4W TO WIN li'lli V., INSURANCE 11. This District shall maintain a n insiirance policy i n the amount of $500 , 000 , for the death of or injury to any person ill any one accident, :and $5 , 000 , 000 , for the death of or injury to more than one person in any one ac cident , wh-ich policy shall .conunence in force and effect upon completion of construction and initial operation of each dam site , insur 0 ing against damages sustained by reason of any liability relatinq to the •ownership, operation, maintenance and construct ion of each hydroelectric power plant, and the distribution of electrical power therefrom, and shall furnish the Council satisfactory evidence of such insurance, naming the Council as an additional insured, MUTUAL INDEMNIFICATION* AND HOLD HARMLESS 0--aft 12. The parties hereby mutually release and agree to indemnify each other from and against any canal all injuries to and deaths of persons, and injuries to property, or other interests, and any and all claims, duties , demands , costs , losses , damage, liability, and lawsuits, howsoever the same may be caused, asserted at any time, by any and all persons, firms, corporations and other entities , which directly or indirectly result from the operation, maintenance, construction, distribution, and use of each hydroelectric power generating plant, described in this Agreement. The parties further agrees to indemnify and save each other harmless from and cagainst any and all in3uries to and deaths of persons , and injuries to ropert r other, interests, and any and all claims , duties , demands , costs , losse s , damage , liability, and lawsuits , howsoever the same may be caused, asserted at any time , by any and all persons , firms , corporations "and other entities , directly or indirectly made or suffered by District, its agents , subcontractors, and employees , which directly or indirectly arise •from, relate to or in any manner whatsoever are ; connected with the operation, maintenance, construction, distribution and use of each hydroelectric power generating plant, described in this Agreement. Such indemnification shall include reimburspment of attorneys fees. OPERATION BY DISTRICT 14. The parties hereby expresssly acknowledge and agree that the entire construction, operation , and ma in tenance of each hydroelectric power plant described in this Agreement and the distribution of electrical power therefrom, shall be within the complete control of the District and its des ignated agents, employees and affiliates , and in the case of Stampede Dam, such control may be exercised by the United States Department of the Interior, Bureau of Reclamation, or other federa l agency. The Council shall have absolutely no ownership inte res t or rights whatsoever concerning such construction, ownership, operation , or maintenance -of the hydroelectric power generating plants , or the distriblition of electrical p ower therefrom, i' 141 ,r -6 Rik J ft PW W11.1 r NOTICES 15. In the event either party institutes an action to interpret or enforce the terms of this Agreement, the prevailing party shall be entitled to an award of reasonable attorneys' , experts' and consultants' fees and costs in the court's discretion. GOVERNING LAW 22. This Agreement and each of its severable provisions shall be governed by and construed in accordance with, the laws of the state of California.
