CONTRACT FOR CONSULTING SERVICES
THIS AGREEMENT made this 28th day of July, 1980, by the between the TRUCKEE
DONNER PUBLIC UTILITY DISTRICT acting by and through its Board of Directors,
hereinafter referred to as "District." and LYELL C. CASH, hereinafter refer-
red to as "Consultant. "
W I T N E S S E T H
WHEREAS, the District is in need of assistance in the administration of its
affairs on an interim basis; and
WHEREAS, Consultant was employed as the Assistant City Manager of Oxnard
from 1947 to 1956, and the City Manager of Ukiah from 1956 to 1972; and
WHEREAS, Consultant has served as a Consultant for various cities, Districts
and private organizations since his retirement in 1972.; and
WHEREAS, Consultant has previously performed the duties of the General Manager
on two separate occasions on an interim basis and has the experience to aid in
the administration of the Truckee Donner Public Utility District and the per-
sonnel thereof;
NOW, THEREFORE, in consideration of the mutual proml*se§ set forth herein., it

is agreed by and between District and Consultant as follows.
I WORK - The work to be performed by Consultant includes all management func-
tions generally performed by the General Manager in conducting the day-to-day
affairs of the District, including but not limited to the following:
a) Coordinate the activities of the District.
b) Analyze and make recommendations regarding budgeting matters,,
District operations, and administration.
c) Attend all meetings and perform all acts requested by the
Board. of Directors.
d) Coordinate and assist the Board in activities relating to
the recruitment of a permanent General Manager.
e) Handle any and. all administrative activities as may be re-
quired by the District.
II PAYMENT - In consideration thereof, the District shall pay Consultant the
sum of Four Thousand Dollars ($4,000) per month, and will furnish to Consultant
a District car for his use in conducting said affairs of the District. Said
sum of $4,000 shall be payable upon receipt of a statement on the first day of
each month. There shall be a proration for any fraction of a month in which
Consultant works.
III DURATION - The term of this Agreement shall be from August 6, 1980, until
such time as a permanent General Manager is designated (an estimated period
of approximately four (4) months) . In connection herewith, it is expressly
understood that either party may cancel this agreement upon fifteen teen (15) days
advance written notice.
IV RELATIONSHIP OF PARTIES - The parties intend to create an independent con-
tractor/employer relationship by this Agreement. The District is interested
only in the results to be achieved, and the conduct and control of the work
will lie solely with the Consultant. The Consultant is not to be considered
an agent or employee of the District for any purpose. It is further under-
stood that the District is riot responsible to Consultant for Workmen's Com-
pensation Insurance, retirement pay, vacation or sick time, or any other items
of fringe benefits ordinarily payable to any employee.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement at Truckee,
California, the day and year first above written.
