BIDS FOR THE LEASE OF- THE 1.9 ACRE PARCEL OF DISTRICT LAND WHEREAS? on December 18, 1978, the Board of Directors of the Truckee- Donner Public Utility District adopted Resolution 7864 declaring the 1.9 acre parcel unnecessary for District use and available for lease; and WHEREAS, no bids were received for the lease of said property. NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Truckee--Donner Public Utility District as follows: 1. The Manager is hereby authorized and directed to readvertise an invitation for bids for the lease of the 1.9 acre parcel, in accordance with the Invitation to Bid attached hereto as Exhibit "A"• 2• The Board of Directors does hereby approve the Questionnaire for Bidders, attached hereto as Exhibit "B", and Conditions of Lease, attached hereto as Exhibit licit* PASSED AND ADOPTED by the Board of Directors of the Truckee-Donner Public Utility District, at a meeting held within said District on the `-th . : day of April , 1980, by the following roll call vote. MILTON SEYIVIC� R, Clerk Thereof t i SEG:m ea 3/31/80 INVITATION TO BID NOTICE IS HEREBY GIVEN to prospective bidders that sealed bids will be received by the Truckee-Donner Public Utility District, Donner Pass Road, Truckee, California, until June 2 , 1980, at 4=00 P.M., for the lease of a 1.9 acre parcel located on the corner of Highway 89 and Donner Pass Road, which parcel has been declared unnecessary for District use. Prospective bidders are asked to contact the Truckee-Donner Public Utility District office, Post Office Box 309, Truckee, California 95734 (telephone 916-587-3896) for a description of the parcel and conditions of the lease. All bidders must submit a certificate of deposit, certified check or bid bond in a sum equal to FIVE THOUSAND DOLLARS ($5,000,00). Said deposit, check, or bond shall be forfeited in the event that the bidder is awarded the lease and fails to accept the -.same within sixty (60) days after the award. All bidders must submit a completed and signed "Questionnaire for Bidders" supplied by the District. The minimum bid will be $3,100.00 per month. The Truckee-Donner Public Utility District specifically reserves the right to reject any and all bids, waive irregularities or informalities in any or all bids, be the sole judge of the suitability of any bid, and to accept any bid that it determines to be in its best interest. State whether you are bidding as an individual, corporation, partnership or otherwise. (Specify which and give full name). 2. If you are bidding as a corporation or partnership, submit a copy of the Articles of Incorporation or Partnership Agreement along with your bid. 3. If you are bidding as an individual or jointly with another party state the full legal name of each party, the marital status of each party, and, if married, the name of each par t y's spouse. 4. At what address do you wish notices to be sent regarding the lease in the event you are the successful bidder? 5. Submit with your bid current financial statements for all parties. 6. Do you agree to submit all site plans of any proposed installations, elevated views of any proposed buildings and a development schedule to the District prior to any work and acknowledge that all proposals for any installations and development are subject to approval by the Truckee-Donner Public Utility District. Y es No AW EXHIBIT "B" CONDITIONS OF LEASE The Board of Directors of the Truckee Donner Public Utility District shall award the lease in an ordinance, and said lease shall be conditioned upon the following: 1. A minimun monthly rent of THREE THOUSAND ONE HUNDRED AND N01100 ($31,100.00) DOLLARS; ► 2. The rent shall commence upon the earlier of (a) approval of building plans, or (b) twelve (12) months after the effective date of the ordinance approving the lease. The lease shall provide for cost of living increases every five (5) years; 3. Term of thirty (30) years; 4. The District shall retain the right of approval over the use of the parcel and the design of the structures to be construct- ed thereon for the term of the lease and any extensions thereto; 5. The lessee shall reimburse the District for all costs expended in connection with the lease of the parcel including legal, engineering, appraisal, advertising and supervisory costs. The District shall fully cooperate with lessee in securing the re- quired zoning changes and all necessary approvals. 6. The District shall provide and the lessee shall pay for a title policy evidencing District ownership of the policy; 7. The lessee shall be responsible for the taxes and assessments to be levied on the parcel; 8. Lessee shall indemnify the District so that the District shall not be liable for any damage or liability of any kind or for any injury to or death of persons or damage to property of lessee or any other person during the term of the lease, from any cause what- soeverf by reason of the use, occupancy and enjoyment of the par- cel by the lessee or any person thereon or holding under said lessee, and that lessee will indemnify and save harmless the Dis- trict from all liability whatsoever on account of any such real or claimed damage or injury and from all liens, claims and demands arising out of the use of the parcel and its facilities, or any repairs or alterations which the lessee may make upon the parcel. Lessee will carry and maintain, at its sole cost and expense, bod- ily injury liability insurance with limits of not less than $500,000.00 per person and $1,000,000.00 per occurrence insuring against any and all liability of the insured with respect to said premises or arising out of the maintenance, use or occupancy there- of, and property damage liability insurance with a limit of not less than $100,000.00 per accident or occurrence. All such bodily injury liability insurance and property damage liability insurance shall specifically insure the performance by lessee of the indem- nity agreement as to liability for injury to or death of persons and injury or damage to property as set forth above. As evidence of the foregoing insurance, lessee shall provide District with a certificate of insurance indicating the District as a co-insured; 9. The Board shall make any findings made necessary by the California Environmental Quality Act. 10. The lease cannot be assigned and the property cannot be sublet without the written consent of the Boad of Directors of the District. EXHIBIT licit
