RESOLUTION NO. 8012
RESOLUTION APPOINTING SPECIAL BOND COUNSEL
AND AUTHORIZING EXECUTION OF AGREEMENT
BE IT RESOLVED by the Board of Directors of the Truckeetme
Donner Public Utility District, Nevada County, California, that
STURGIS, NESS, BRUNSELL & SPERRY a professional corporation, be,
and they are hereby, appointed as Special Bond Counsel to conduct
special proceedings for the issuance of revenue bonds for said
Truckee-Donner Public Utility District; and
BE IT FURTHER RESOLVED that the employment of said STURGIS ,
NESSF BRUNSELL & SPERRY a professional corporation, shall be as pro-
vided in the attached agreement* and
BE IT FURTHER RESOLVED that the President of -.the Board of
Directors be authorized to sign, and the District Secretary thereof
be authorized to attest, that certain agreement employing the said
STURGIS, NESS , BRUNSELL & SPERRY a professional corporation as Special
Bond Counsel to do and perform the services therein set forth and

A G R E E M E N T
THIS AGREEMENT, made and entered into this
day of 1980 , by and between the TRUCKEE-DONNER
.
PUBLIC UTILITY DISTRICT.. a puJ'01jc utility district formed pursuant
to Sections 15501 and following, California Public Utilities Code,
hereinafter called ..First Party,, and STURGIS, NESS , BRUNSELL &
SPERRY a professional corporation, Special Bond Counsel, herein-,
after called Second Party:
W I T N E S S E T H*
That for and in consideration of the mutual covenants and
agreements herein contained , the parties hereto agree as follows :
1 , First Party proposes to initiate proceedings to
finance improvements to the water system of the Truckee- Donher
Public Utility District, Nevada County, California.,
2e First Party hereby employs Second Party as Special
Bond Counsel and Second Party hereby agrees to accept said employofte
ment by First Party in said Proceeding s. Said services shall
include the following :
a Such preliminary consultations and advice as are
necessary with First Party officials , or First
Party officials and groups not comprised of First
Party officials , to determine the best proceed-
ings to be taken and the appropriate time schedule;
be Prepar�Lt ion of an election calendar and any a nd all
resolutions , notices and other documents from the
time of commencement of formal proceedings by
action of the governing body of First Party
through to consummation of the proceedings and
the sale of revenue bonds which may be issued
in connection with said proceedings, whether
to Farmers Home- Administration or otherwise;
cW Complete supervision of all stages of the pro-
ceedings and attendance at such public and
private meetings as are necessary to coordinate •
the bond election and bond issuance proceedings

for transportation,. meals , lodging, telephone charges, Xerox copies
and the Like incurred in connection with the services specif ied by

this agreement. In the event the bond election passes on June 3 ,
1980, reimbursement of such out-of-pocket expenses shall be

deferred until the bond deliver and shall become a able at th

in the event the bond election fails on June 3 1980 , then Second
Party shall be reimbursed for . such. out-of-pocket expenses in an
amount not to exceed Two Thousand Five Hundred Dollars ($2 , 500. 00) ,

payment to be made from general funds of First Party within thirty

(30) days of presentation by Second Party of a statement of
such expenses .
7 . Second Party certifies that it has no interest, either
direct or indirect, in an property or matter involved in thepro-
ceedingsy p p Y referred to -in this contract other than '
the fees herein
specified and for the purposes herein specified.

Utility District for an purpose, directl or indirectly, other than
