OF THE
TRUCKEE DONNER PUBLIC UTILITY DISTRICT
DIRECTING THAT COMPETITIVE BIDDING BE DISPENSED WITH IN CONNECTION
WITH THE DISTRICT'S PURCHASE OF COMPUTER SOFTWARE TO PROVIDE FOR
THE DISTRICT'S WATER UTILITY SUPERVISORY CONTROL AND DATA
ACQUISITION COMPUTER SYSTEM
WHEREAS, in 1994 the District purchased a Supervisory Control And Data Acquisition
(SCADA) computer system from Sandel Avery Inc.; and
WHEREAS, in 1996 the District purchased a SCADA computer system from Quindar
Products Limited; and
WHEREAS, in February 1999 the District purchased a billing and accounting system
from CADP; and
WHEREAS, in March of 1999 the District purchased a AM/FM/GIS mapping computer
system from CADP which integrates with the CADP billing and accounting system; and
WHEREAS, the SCADA computer system from Sandel Avery Inc is a proprietary
computer software which cannot communicate with the Electric Department's SCADA
computer system, the CADP billing and accounting system or the CADP GIS system;
and
WHEREAS, to minimize the risk of acquiring a SCADA system that will become
incompatible with existing and future District technology, the SCADA system shall be
configured to provide a fully open system architecture, which shall allow future
expansions, upgrades, and additions of new applications supplied by multi-venders with
minimal charges; and
WHEREAS, the integration of all of the District's computer systems is important in the
cost effective operation of the District, and
WHEREAS, the Electric Department's SCADA computer system and the Water
Department's SCADA computer system must communicate to provide effective energy
conservation for the District; and
WHEREAS, District staff has looked extensively for software, installation, training and
support that will meet the Water Department's SCADA computer system needs
preferably from a sole source vendor; and
WHEREAS, the District has found a vendor who specializes in Water System SCADA
computer software that will fit the current and future foreseeable needs of the District;
and
WHEREAS, the software is iFix by Intellution an Emerson Electric Company; and
WHEREAS, Intellution iFix software applications utilize Microsoft NT as the base
operating system and interfaces with most data base software including Oracle's
relational database structure which will better allow for interactivity with other District
hardware and software; and
WHEREAS, Intellution iFix software operates on any PC based Server; and
WHEREAS, the District will have an ongoing service relationship with the provider of the
hardware and software systems, in that the provider will have a direct link to the
District's system for ongoing technical support, training and maintenance services; and
WHEREAS, various California court decisions, including Graydon v. Pasadena
Development Agency, 104 C.A. 3d 631 (1980), hold that if the subject of a contract is
such that competitive proposals would be unavailing or would not produce an advantage
and the advertisement for competitive bids would thus be undesirable or impractical, a
public agency may dispense with competitive bidding; and
WHEREAS, due to the facts set forth above, competitive bidding would be unavailing
and would not produce an advantage to the District, and the advertising for competitive
bids would not produce an advantage to the District and would be undesirable; and
WHEREAS, Public Contract Code Section 20206.4 generally requires that the District
seek competitive bids in connection with the purchase of goods; and
WHEREAS, the District finds that the computer hardware, software and support
services more nearly resembles a special service, for which no competitive bidding is
required, as opposed to a "good"; and
WHEREAS, the Public Utilities Code Section 16034 and Government Code Section
53060 provide that the District may, without competitive bidding, contract for
professional or special services and advice in financial, economic, accounting,
engineering, legal, administrative, and professional matters if such persons are specially
trained and experienced and competent to perform the special services required; and
WHEREAS, since Intellution would provide a sole source of purchase, installation,
training and subsequent support and that the installation and conversion would be
smoother and more efficient because of it.
NOW, THEREFORE, BE IT RESOLVED by the Board of Directors that it adopts the
above stated recitals as its findings.
BE IT FURTHER RESOLVED by the Board of Directors that for the reasons set forth
above, the District finds that competitive bids for Intellution's iFix SCADA software would
be unavailing and would not produce an advantage to the District and the advertisement
for competitive bids would not produce an advantage to the District and would be
undesirable and costly.
BE IT FURTHER RESOLVED that the District finds that computer software and support
services more nearly resembles a special service, for which no competitive bidding is
required, as opposed to a "good."
BE IT FURTHER RESOLVED that the District shall therefore dispense with competitive
bidding for the acquisition of the Intellution iFix SCADA software, and the District staff is
authorized to purchase from Intellution the necessary software and software licenses to
operate iFix software including costs for software, installation, training and technical
support services.
PASSED AND ADOPTED by the Board of Directors at a meeting duly called and held
within the District on the fifteenth day of December 1999 by the following roll call vote:
